PROCEDURES:

1.-Buyer issues Irrevocable Corporate Purchase Order with full bankingInformation and not sanitized or internet circulated ICPO.

2.Seller issues Full Corporate Offer including the present proceduresstatements alongside with NCNDA+IMPFA. Buyer returns endorsed andsealed Full Corporate Offer.

3. Seller issues Sales PurchaseAgreement (SPA). Buyer returns endorsed and sealed SPA incorporatingmutually agreed pre- arranged amendments.

5. Buyer payment

per production start, Buyer issues Unconditional, Irrevocable,Operative, Divisible, One Time Transferable Letter of Credit L/C or TTby SWIFT MT103 at Buyer choice, in favor the Seller bank account validfor one (1) Month. This payment will be split in 12 months and each12th partial amount will be reduced from the monthly payment.
b. Asper monthly product payment, Buyer issues Irrevocable, Non-Operative,Divisible, One Time Transferable Letter of Credit L/C or TT by SWIFTMT103-23 at Buyer choice, in favor of the Seller bank account valid forone (1) Month and buyer's bank shall be a top 50 World bank payableagainst OBOL (Ocean Bell of Lading). This is a monthly process againstpaperwork.
c. As per guarantee, Buyer issues Unconditional, Irrevocable,Operative, Divisible, Transferable Stand By Letter of Credit (SBLC) orTop 25 Bank Guarantee at Buyer choice, in favor of Seller bankaccountvalid for twelve (12) months and ten (10) days,. This guaranteewill be issue upon final SPA signature and up to 5 banking days.

8. Seller issues Invitation to buyer for factory visit and loading port.

9. Performance Guarantee

a.Seller issues operative 2% Performance Bond. PB turns monthly paymentInstrument into Operrative (MT103-23 is operative by default)
b. Seller grants a Corporate Bond or Bank Guarantee in favor of Buyer, for the amount of 75% of Buyer's Guarantee.

10.Monthly payment will be performed only after shipment documents aresubmitted (Ocean Bill of Lading-OBOL and Commercial Invoice within 15banking days of loading max).

11. Upon completion of all verifications, delivery and shipment commences as Per Contract.

12.Seller releases payment to all Brokers/Agents same time out-turnsshipment delivered per slot via wire transfer within 23 banking daysafter discharge of cargo and receipt of all relevant shipping documents.
